StackAdapt Event Terms and Conditions

The following terms and conditions (“Terms and Conditions”) are a condition to your attendance at any StackAdapt events or activities (the “Event”) and your registration for the Event, receipt of these terms and conditions regarding the Event and decision to subsequently attend the Event are acceptance of these terms and conditions between the guest receiving these terms and conditions (“you” and “your”) and StackAdapt Inc.(“we”, “our” or “us”).

COVID-19
1. Please note any interaction with the general public poses an elevated risk of being exposed to COVID-19 and we cannot guarantee that you will not be exposed while in attendance at the Event. You agree that we are not responsible or liable if you become ill while attending the Event.
2. You agree that you will not attend the Event if, at the time of the Event:
  1. you have traveled internationally outside of the United States during the 14 days prior to the Event;
  2. you have visited a COVID-19 high risk area, region or location in the USA in the 14 days prior to the Event;
  3. you have COVID-19;
  4. you have been experiencing symptoms of COVID-19, such as and including but not limited to: (i) fever, (ii) cough, (iii) shortness of breath, (iv) loss of sense of smell, (v) loss of sense of taste; and (vi) headaches;
  5. you have, in the past 14 days, come into contact with someone who has tested positive for COVID-19, who has known symptoms of COVID-19, or is self-isolating or quarantining consequent to COVID-19 like symptoms or pursuant to applicable order or laws;
  6. you cannot follow all government recommended COVID-19 guidelines, including practicing recommended masking, physical distancing, vaccination requirements.
Other Risks. In addition to the foregoing, you acknowledge and assume the inherent risks in participating in the Event, including but not limited to:
1. the potential for bodily injury or illness (including contraction of COVID-19);
2. contact or interaction with other who may have been exposed to COVID-19;
3. permanent disability, paralysis or loss of life;
4. collision with natural or manmade objects;
5. dangers arising from adverse weather conditions;
6. imperfect venue or field of play conditions;
7. equipment failure;
8. the cost of missing any form of transportation associated with the activities;
9. inadequate safety measures;
10. circumstances known, unknown, or beyond the control of us and our directors, officers, agents, partners, affiliates, and employees (our “Representatives”), and;
11. other potential negligent acts or omissions of us or and our Representatives.
Event Admission
1. You acknowledge that we reserve the right to request your removal from the Event if we, in our sole discretion, consider your presence and/or behaviour to create a disruption or to hinder the Event and/or the enjoyment of the Event by other attendees or speakers.
2. You agree to not attempt to hire or poach our current employees or clients during the Event.
3. By attending the Event, you acknowledge and agree to grant us the right at the Event to record, film, photograph or capture your likeness in any media now available and hereafter developed and to distribute, broadcast, use or otherwise globally to disseminate, in perpetuity, such media without any further approval from you or any payment to you. This grant to us includes, but is not limited to, the right to edit such media, the right to use the media alone or together with other information, and the right to allow others to use and/or disseminate the media.
4. You acknowledge and agree that we, in our sole discretion, reserves the right to change any and all aspects of the Event, including but not limited to, the Event name, themes, content, program, speakers, performers, hosts, moderators, venue and time.
Intellectual Property
1. All intellectual property rights in and to the Event, the Event content and all materials distributed at or in connection with the Event are owned by us.
2. You will not distribute Event content externally unless provided by our Representatives directly. If you wish to receive clarification or further information on any content, a Representative can provide additional details following the Event.
General Warranties. You also hereby warrant, represent, acknowledge and undertake to us that:
1. you are the age of majority in the location of the Event, and that any statements or opinions expressed during or in connection with the Event are an accurate expression of my personal experiences and beliefs;
2. the authorization, approval or consent of no other person is necessary for these Terms and Conditions to be valid, binding and fully in force and effect;
3. these Terms and Conditions and all rights herein may be assigned, licensed, sub-licensed or otherwise transferred by us without your consent;
4. these Terms and Conditions are binding upon your heirs, executors, administrators, personal representatives and any permitted successors or assigns.
Medical Treatment. You hereby give consent and authority to use to obtain medical treatment on my behalf if you are injured or require medical attention during your participation in the Events. You understand and agree that you are solely responsible for all costs related to such medical treatment, medical transportation and/or evacuation. You hereby release, forever discharge and hold harmless us from any claim whatsoever in connection with such treatment or other medical services.
Release and Waiver. In addition to the foregoing release, you hereby fully and forever release and discharge us from, and expressly waive, any and all liability, claims and demands of whatever kind or nature, either in law or in equity, that may arise from my participation in or connection with the Event. You agree not to make or bring any such claim or demand against us, and fully and forever release and discharge us from liability under such claims or demands. YOU UNDERSTAND THAT THIS RELEASE DISCHARGES US FROM ANY LIABILITY OR CLAIM THAT YOU MAY HAVE AGAINST US WITH RESPECT TO ANY BODILY INJURY, PERSONAL INJURY, ILLNESS, DEATH, PROPERTY DAMAGE OR PROPERTY LOSS THAT MAY RESULT FROM THE EVENT, WHETHER CAUSED BY THE NEGLIGENCE OF US OR OTHERWISE.
INSURANCE. YOU UNDERSTAND THAT WE DO NOT ASSUME ANY RESPONSIBILITY FOR, OR OBLIGATION TO PROVIDE, FINANCIAL ASSISTANCE OR OTHER ASSISTANCE, INCLUDING BUT NOT LIMITED TO MEDICAL, HEALTH OR DISABILITY INSURANCE OF ANY NATURE IN THE EVENT OF YOUR INJURY, ILLNESS OR DEATH, OR DAMAGE TO OR LOSS OF MY PROPERTY.
Indemnification. You hereby agree to indemnify, defend and hold harmless us from any and all liability, losses, damages, costs judgments or expenses, including legal and other fees, that it may incur or sustain as a result of my participation in the Event, arising out of any third-party claim.
